Book News Annotation:

Concerned that a loss of confidence in the integrity of corporate accounts might compromise confidence in capital markets, Gitlow (emeritus, economics, New York U.) has delved into the causes of corporate corruption. His central thesis is that recent corporate accounting scandals have been the result of the unchecked power of "imperial" chief executive officers and that reining in corporate corruption requires the institution of checks and balances against unrestrained power similar to those found in the American political sphere. Advancing this argument, he surveys the respective roles of capitalist institutions, including the management, the board of directors, the accountants, the lawyers, investment bankers, financial analysts, institutional investors, and regulators, examining for each the role they play in balancing decision-making, oversight, and other corporate powers.
